The following are the terms and conditions that
govern the sale of products by Digital Video Products, a division of UniSon
Production Products. By placing your order with UniSon Production Products,
you are agreeing to accept and to be bound by these terms and conditions of
sale. At UniSon Production Product's sole discretion, these terms and
conditions may be changed before the acceptance of your order and without
prior notice.
Payment Terms
Payment is due by American Express, JBL, Mastercard or Visa credit cards,
PayPal, Certified Cheque, Money Order or Bank Draft. Once an order is placed by
any credit card, the credit card account will be verified. Should a credit card
charge be declined, so will be the order. C.O.D. orders are only accepted by
prior arrangement with existing customers in good standing. Otherwise, orders
are processed ONLY upon receipt of payment.
Disclaimer of Warranty
Products that are shipped to you which have warranties are included
with the shipment. Some products may have additional original manufacturers
warranties not covered by UniSon Production Products. Items sold on our web
sites that are, "as is" products may not have warranties from UniSon
Production Products (other than those warranties implied by and incapable
of exclusion, restriction or modification under applicable law),
but may still hold warranties from the manufacturer.
Payment Shipping and Handling Charges and Taxes
The buyer is responsible for all tariffs and taxes associated with your
purchase.
Prices
Prices shown on the UniSon Production Products site do not include shipping
and handling or taxes unless otherwise noted. All prices are billed and charged
in Canadian dollars regardless of the currency you have chosen to use to display
the prices. A currency rate table is used based on the rate found at
Xe.com and this rate table is updated
from time to time but it is NOT guaranteed to be accurate for currencies
other than the Canadian dollar. If the price for a product drops and this
lower price is shown on our web site and you notify UniSon Production
Products of the lower price before the product is shipped, then and
only then will the price charged be the lower price.
Shipping & Risks during Shipping
When products are shipped to you by common carrier, UniSon Production Products
limits the liability to you for breakage and/or non-delivery of the products by
the terms, conditions of carriage and limits of liability provided by the
common carriers . You may wish to purchase additional insurance from loss or
breakage during shipment for the full insurable value of the products you have
ordered. This must be done by making the appropriate requests when placing
your order with UniSon Production Products.
Limited Warranty
UniSon Production Products warrants product(s) to be in good working condition
and free from defects in material and workmanship for a period of ninety (90)
days from the original invoice date for OEM products, (except OEM CPU products
which carry a seven (7) day warranty), or thirty (30) days from
the original invoice date for RETAIL packaged products. unless otherwise
restricted below or by the manufacturers own warranty policy.
UniSon Production Products liability shall as limited to repairing or replacing,
at its option, any defective product which is returned. Products must be
returned freight prepaid to UniSon Production Products, according to the
procedures set forth in section Merchandise Return Procedure below. The
customer shall bear all responsibility for shipping charges and risk of loss
or damage during shipping to UniSon Production Products. Products are not
covered by this warranty which have been subjected to improper care and
installation, abuse, misuse, alteration, neglect or unauthorized repair as
determined solely by UniSon Production Products.
Any alterations, addition, improvements or attachments to the product(s) not
authorized in writing by the UniSon Production Products shall be deemed to be
a waiver of this warranty by the customer and shall render this warranty null and
void. UniSon Production Products shall return such product(s) to the customer,
at the customer's expense via regular ground service within Canada. Shipping
charges by all other methods and to all other destinations shall also be borne by
the customer.
This warranty is in lieu of any other warranty, express or implied. UniSon
Production Products makes no other warranties including any warranty of fitness
for a particular purpose. In no event shall UniSon Production Products be
liable for indirect or consequential damages of any kind such as loss of profits
or business opportunities.
Limitation of Liability
The maximum liability to you for products purchased from UniSon Production
Products shall be limited to the purchase price you have paid for the product(s).
Also, UniSon Production Products will not be liable for any property damage,
personal injury, loss of use, interruption of business, loss of profits,
or other consequential, indirect, incidental, punitive or special damages.
This applies to all situations however caused, whether for breach of warranty,
contract, tort (including negligence), strict liability or otherwise, other
than those damages that are incapable of limitation, exclusion or restriction
under applicable law.
THIS RETURN POLICY IS NOT A WARRANTY.
UniSon Production Products reserves the right to cancel the order
at any time before accepting your order. For all refunds, you need to
precisely follow the previous return procedures to ensure the refund.
You need to also allow a reasonable period of time for the product to arrive
at our business and pass an inspection process. When your return is accepted,
we will process your credit as soon as possible. Only credit card payments
will receive a credit card refund. Purchases made by bank draft, money order,
certified cheque, cash or money transfer will be refunded via cheque.
Ownership
Title to hardware products and to the media in which software products are
embodied passes to you upon your acceptance of the shipment.
Title to software remains with the licensor of the software.
Interpretation
These terms and conditions shall be interpreted under and governed by the
laws of Canada, without giving effect to conflicts of law rules.
Headings used in these Terms and Conditions are for convenience of reference
only and are not intended to affect the meaning or interpretation of these
Terms and Conditions nor to be part of them.
Modification
Any additional or altered terms attached to or adhering to an order or purchase
shall be null and void and without effect, unless agreed to in writing by
UniSon Production Products. These terms and conditions may not be altered or
amended without the written agreement of UniSon Production Products.
Severability
The terms and conditions stated herein are declared to be severable. If any
provision of these terms and conditions is held to be illegal, invalid
or un-enforceable, in whole or in part, the legality, validity and
enforceability of the remaining provisions shall not be affected or impaired.
Assignment
You may not assign this agreement without UniSon Production Products's prior
written consent. UniSon Production Products is the intended beneficiary of
this agreement. If there is any inconsistency between this agreement and other
agreements included with or relating to products purchased from UniSon
Production Products, this agreement shall take precedence.
Linking and Framing the Web Site
Links to the Web Site without the express permission of UniSon Production
Products are strictly prohibited. The framing of the Web Site or any of its
content in any form and by any method is strictly prohibited. |
